Welcome to yuu Singapore Rewards Club (“yuu SG”).


These terms and conditions govern your relationship with yuu SG and the use of the yuu SG Account (as defined below).  yuu SG is owned and operated by Minden Singapore Private Limited ("Minden", "we”, or "us"). Please read these terms and conditions ("Terms") carefully.  By registering to become a member of yuu SG, accessing and/or using the yuu mobile application (“App”) and/or our website, presently at https://yuu.sg (“Website”), you agree to be bound by these Terms and any and all other policies, notices, rules and instructions pertaining to yuu SG, issued by us from time to time.

1.   Joining yuu SG


You can become a yuu SG member if you have a Singapore mobile phone number and are at least 18 years old. However, if you are under 18 years old you may become a yuu SG member if this has been authorised by your parent or legal guardian, you have obtained their consent to become a yuu SG member on these Terms and they have agreed to take responsibility for your actions and your acceptance and compliance with these Terms (including any charges associated with your yuu SG membership).


You confirm that all information provided by you to us is complete, accurate and up to date.  You agree to promptly update any changes in your personal details via the Profile section in the App, so that you can receive any communications we send you.


To protect the interests of consumers and our Partners (as defined below), we have the right to determine whether to accept or reject your application for yuu SG membership or otherwise discontinue, suspend or terminate your yuu SG Account (as defined below), for any reason and without any liability to you.

2.   Your yuu SG Account


You will only become a member of yuu SG and can only enjoy the benefits provided to yuu SG members, after we complete your registration and activate your membership ("yuu SG Account").

 

Your yuu SG Account may only be accessed through the login mechanism we prescribe, relying on identification credentials provided to us (“Login Credentials”). The ability to use Login Credentials may depend on your ability to receive text messages at your Singapore telephone number.

 

You agree and acknowledge that:

 

(a)            any access to or use of, or purported access to or use of your yuu SG Account, and/or information, data, instructions or communications, whether or not authorised by you, referable to your Login Credentials shall be deemed to be: (i) access to or use of your yuu SG Account by you; and/or (ii) information, data, instructions or communications transmitted and validly issued by you; and

 

(b)           you shall be bound by any such access to or use of, or purported access to or use of your yuu SG Account; and/or information, data, instructions or communications, whether or not authorised by you, referable to your Login Credentials, and you agree that we (and our service providers) shall be entitled (but not obliged to) act upon, rely on and/or hold you solely responsible and liable in respect thereof, as if the same were carried out, transmitted or issued by you.


Your yuu SG Account is personal to you and only you can accumulate yuu SG Points (“Points”), or redeem Points in return for products, services, discounts, gifts or vouchers ("Rewards"), or receive any other benefits or offers in relation to your yuu SG  Account.  You cannot sell, exchange, transfer or assign your yuu SG Account or Points to anyone else.

 
If you hold an active DBS yuu credit card (“DBS yuu Card”) issued in your name, you may link your DBS yuu Card to your yuu SG Account via our App.  The DBS yuu Card is issued by and under the control of DBS Bank Ltd, and is subject to separate terms and conditions of DBS Bank Ltd.

 

If you hold an active PAssion POSB Debit Cards (inclusive of PAssion POSB Debit Card, HomeTeamNS PAssion POSB Debit Card and PAssion POSB Platinum Debit Card  (“PAssion POSB Debit Card”) issued in your name, you may link your PAssion POSB Debit Card to your yuu SG Account via our App.  The PAssion POSB Debit Card is issued by and under the control of DBS Bank Ltd, and is subject to separate terms and conditions of DBS Bank Ltd.


If you apply to become a yuu SG member via our online registration process, or you register your yuu SG Account via the App on your mobile device, then the quick response (QR) code or the bar code (“yuu ID”) generated in your user account on the App will act as your identification number for your yuu SG Account.


Multiple yuu SG memberships cannot be used to earn Points or redeem rewards in relation to the same transaction.

3.   Earning yuu Points


Once your yuu SG Account has been activated, you can use it to accumulate Points on your yuu SG Account based on your spending at any selected store, e-commerce website, kiosk or restaurant (“Participating Outlet”) belonging to our yuu SG partners (“Partners”) in Singapore that is valid for the earning of Points as determined by us from time to time (“Eligible Spend”).  Certain products or services at the Participating Outlets may be excluded and you cannot earn any Points based on your spending on such excluded items. The list of Participating Outlets, Partners and excluded items shall be determined by us from time to time.

 

When you present your yuu SG, you will earn a minimum of 1 (one) Point for each S$1 (One Singapore Dollar) of Eligible Spend, that is not an excluded item (“Base Points”).  Our Partners may issue Points above the Base Points from time to time (“Bonus Points”).

 

If you have linked your DBS yuu Card with your yuu SG Account and you purchase any products or services at any store, e-commerce website, restaurant or merchant that is not a Participating Outlet, but which accepts payment via the DBS yuu Card, you may also be eligible to earn Base Points.


On occasion you may also be entitled to earn additional Points on top of the Base Points when you use the DBS yuu Card or as part of any special promotional offers related to yuu SG (“Additional Points”).  The issuance of any Additional Points will be subject to further terms and conditions, which will be posted on our App.


We have the right to amend the number of Partners or Participating Outlets, who the Partners or Participating Outlets are, any excluded items, the Base Points or Bonus Points, at any time.  We will notify you of any major changes by emailing you or posting a notice in the App.


The Points you earn will be credited to your yuu SG Account as soon as reasonably practicable but in any case no later than 14 days from the date of your purchase.  In some circumstances, there may be a delay in updating your Points balance, but we will endeavour to reflect the latest balance as soon as possible.


In the event of a refund, your Points earned from the corresponding purchase shall be deducted from your yuu SG Account.


In general, Points cannot be earned or accumulated in relation to any cash voucher or gift card you purchase at a Participating Outlet. 

 

Points cannot be exchanged for cash or be purchased.

 

Points will expire if you do not redeem them. Points will expire 2 years after the date of issuance.


If you do not earn or redeem any Points on your yuu SG Account for 2 consecutive years, we will assume you no longer wish to participate in yuu SG and will close your account.  Any Points that you have not redeemed will expire and be forfeited upon closure of your yuu SG Account.

4.   Redeeming Rewards


You can use the Points credited to your yuu SG Account in order to redeem Rewards offered by us in relation to yuu SG.  The number of Points required to redeem each Reward will be specified by us. You can view the Points required for each available Reward via our App.

 

To redeem any Rewards, you must have downloaded the App and completed the registration process.


We will determine how you can redeem a Reward, and how a Reward will be used, collected or delivered.  In general, a Reward can usually be redeemed via our App and can either be used directly with a Rewards Partner by using the yuu ID (QR code or bar code), collected at one of our specified collection points, or delivered to your requested delivery address. The different ways to enjoy your chosen Reward will be detailed in the specific terms and conditions on our App for each particular Reward. Certain Rewards can also be redeemed at relevant Participating Outlets, as may be specified by us from time to time.  We recommend downloading the App to enjoy the full range of Rewards and other options that we exclusively offer to yuu SG Members.

 

The redemption of any Rewards, including the usage, delivery or collection of any Rewards, will be subject to additional terms and conditions, which will be posted on our App, or notified to you prior to your redemption of the Reward.


The Rewards that can be redeemed by you in relation to your yuu SG Account shall be prescribed, amended, provided, offered or terminated, from time to time, at our sole discretion, without any liability to you.


Once you have spent your Points to redeem a Reward, you cannot return or exchange the Reward.


Rewards cannot be exchanged for cash.

5.   Offers


Where we have obtained your consent, we may use your personal data to provide you with tailored and personalised offers and promotions in relation to your yuu SG Account, the accumulation of Points and/or the Rewards ("Your Personalised Offers") and to send Your Personalised Offers directly to you via your preferred communication channel.


Your Personalised Offers will be subject to additional terms and conditions, which will be posted on our App, or otherwise notified to you.


Your Personalised Offers are for your personal use only and cannot be shared with any other member of yuu or a third party. 

6.   Keeping Your yuu Account Secure


Please keep your yuu SG Account (including your Login Credentials) and yuu ID safe at all times. Please notify us immediately via contactus@yuu.sg if you have knowledge that or have reason for suspecting that the confidentiality of your Login Credentials has been compromised, if there has been any unauthorised use of your yuu SG Account or you have lost your yuu SG Membership Card.

7.   Changes To yuu SG


We have the right to make changes to any feature of yuu SG at any time, including (without limitation) in relation to any promotions, benefits or offers, any Rewards, any accumulation or redemption of Points, the online registration process, the in-store registration process, the manner in which yuu SG is operated or run, the Partners, the Participating Outlets, the excluded items, the eligible transactions and the App.  We will notify you of any major changes to any feature of yuu SG by emailing you or posting a notice on our App.  By continuing to use your yuu SG Account after we have provided the notice, you agree to our amendments.  If you do not agree to these amendments, you must stop accessing or using the App, your yuu SG Account and stop participating in yuu SG. You have the option of cancelling your yuu SG Account at any time.

8.   Changes to Our Terms


From time to time, we may update these Terms.  We will notify you of any major changes to these Terms by posting a notice in the App or Website.  By continuing to use your yuu SG Account after we have provided the notice, you agree to our amended terms.  If you do not agree to these amendments, you must stop accessing or using the App and your yuu SG Account and stop participating in yuu SG. You have the option of cancelling your yuu SG Account at any time.


9.   Account Termination or Suspension


You have the right to close your yuu SG Account at any time and for any reason via our App. Following our receipt of your cancellation request, your yuu SG Account will be terminated as soon as possible, and all accumulated Points and any Rewards that you have not collected will be forfeited.


If we plan to terminate yuu SG for any reason, we will provide at least 3 months' prior notice, by posting the notice on our App.  Any accumulated Points that are not redeemed or any Rewards that have not been collected before the date of termination shall be forfeited.


If we reasonably believe that you have breached any of these Terms, we may suspend or terminate your yuu SG Account at our sole direction and/or seek to recover from you any damages and losses suffered by us or our Partners.


If you do not accumulate or redeem any Points for 2 years, we will consider your yuu SG Account inactive and terminate your yuu SG Account, and all Points accumulated on your yuu SG Account shall be forfeited.  You will need to re-apply for a new membership if you wish to re-join yuu SG.


Your yuu SG Account is linked to your mobile phone number and email address. Only one yuu SG Account can be linked to a mobile phone number and email address. If you change your mobile phone number or email address, you must update your account through the App.  If you do not update your yuu SG Account promptly after such changes, your account may be at risk of being accessed by third parties and your yuu Points could be redeemed by someone else using your mobile number or email address. Without prejudice to the foregoing, if we reasonably believe that your mobile phone number has been transferred to a third party or you have deactivated your mobile phone number, or your email address has been compromised, then we have the right to suspend and/or terminate your yuu SG Account linked to this mobile phone number and email address at our sole discretion, and to create another yuu SG Account for the new owner of this mobile phone number and email address.  Upon the cancellation of your yuu SG Account in accordance with the foregoing, all Points accumulated shall be forfeited.  You will need to re-apply for a new membership using a new mobile phone number and new email address if you wish to re-join yuu SG.

 
10.   Disclaimers


All information, content and materials of any kind provided on the App are for your general reference only. Your participation in yuu and your use of our App, your yuu Account, your Offers, Points, Rewards, your yuu ID and yuu Membership Card, are at your own risk.


To the fullest extent permitted by law, yuu, our App, your yuu Account, your yuu ID, your yuu Membership Card, Your Personalised Offers, Points and/or Rewards, and all information, content, materials and/or services provided or performed in relation to them are provided on an “as is” and “as available” basis, and all express or implied conditions or warranties are excluded.


We make no representations, undertakings or warranties:


(a)   as to title, accuracy, completeness, currency, quality, merchantability or fitness for purpose in relation to yuu, our App, your  yuu Account, your yuu ID, yuu Membership Card, Your Personalised Offers, Points and/or Rewards, or any information, content, materials and/or services provided or performed in relation to them;

 

(b) as to the accuracy, completeness, timeliness, or adequacy of all data and/or information contained in our Website or App, or otherwise relating to yuu;


(c)   that yuu, our App, your yuu Account, your yuu ID or yuu Membership Card will be uninterrupted, error-free, secure, timely or available, or that any error or malfunction will be rectified; or

 

(d)       the security of any information transmitted by you or to you through our Website or App, and you accept the risk that any information transmitted or received through our Website or App may be accessed by unauthorised third parties and/or disclosed by us or our officers, employees or agents to third parties purporting to be you or purporting to act under your authority. Transmissions over the Internet and e-mail may be subject to interruption, transmission blackout, delayed transmission due to internet traffic or incorrect data transmission due to the public nature of the Internet.

11.   Our Liability


We shall not be liable for any indirect, special, incidental, punitive or consequential losses or damages suffered by you; however, they may arise, including negligence.

To the fullest extent permitted by applicable law, we shall not be liable to you in contract, tort (including negligence), breach of statutory duty or otherwise for any expenses, losses or damages whatsoever (whether general, special, indirect, direct, nominal, punitive, incidental or consequential) which may arise in relation to these Terms, yuu SG, our App, your yuu SG Account, Your Personalised Offers, your yuu ID, yuu Membership Card, Points, Rewards, any products and services offered by our Partners, or any information, content, materials and/or services provided or performed in relation to them, whether or not we were advised in advance of the possibility of such losses or damages.


If any court of competent jurisdiction finds that any part of the above provisions under this Clause 11 of our Terms is invalid or unenforceable, then our total liability in relation to these Terms, yuu SG, our App, your yuu SG Account, your yuu ID, yuu Membership Card, Your Personalised Offers, Points and/or Rewards, or any information, content, materials and/or services provided or performed in relation to them, shall be limited to the provision of Points and/or the replacement of any Reward that is the subject of the dispute, as we may determine at our absolute discretion.

 

12.   Indemnity

 

Without limiting the generality of any provision in these Terms, you shall indemnify, defend and hold harmless Minden and its related corporations, and their respective officers, directors, employees, agents, independent contractors, successors and assigns (“Minden Indemnitees”) from and against any and all losses, damages, fines or claims which the Minden Indemnitees may suffer, sustain or incur, or which may be instituted, made, brought, threatened, alleged or established against the Minden Indemnitees, by any person and which in any case arises (whether directly or indirectly) out of, in relation to or by reason of: (i) any negligent and/or reckless act or omission, or any fraud, wilful default or wilful misconduct by you, and/or (ii) any breach of or failure or delay in complying with any applicable laws by you, including any rules, code of conduct and/or guidelines issued by any governmental, administrative or regulatory authority or agency.


13.   Intellectual Property Rights


All rights, title, interest, copyright, trade mark rights, domain names, design rights, goodwill and any other intellectual property rights anywhere in the world (of any kind whatsoever) subsisting in yuu SG, our App and any information, content, materials and/or services provided or performed in relation to them, are owned by us and/or our licensors. You shall not obtain any rights, title or interests in them, and shall not reproduce, reverse engineer, decompile, disassemble, modify, copy, rent, lease, loan, sell, distribute or create derivative works based on them (either in whole or in part). By providing any feedback, comments, suggestions, ideas, notes, concepts, or other information (“Submissions”), you automatically grant, or warrant that the owner of such material expressly grants, Minden a royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, and distribute such material (in whole or in part) throughout the universe and/or to incorporate it in other works in any form, media or technology now known or hereafter developed, for the full term of any copyright, trade mark or patent that may exist in such material for any purpose that Minden chooses, whether internal, public, commercial, or otherwise, without any compensation, credit or notice to the sender whatsoever. The sender waives all so-called "moral rights" in all Submissions. The sender further waives the right to make any claims against Minden relating to unsolicited submissions, including, but not limited to, unfair competition, breach of implied contract and/or breach of confidentiality. The making of any Submission is entirely voluntary.


14.   Privacy Policy


Our Privacy Policy sets out the purposes for which we will use your personal data, who we share your personal data with, and the choices you have in relation to how your personal data is collected and used by us.  By applying to become a member of yuu SG or by continuing to use your yuu SG Account, you consent to the collection, use and disclosure of your personal data in accordance with our Privacy Policy.

15.   Links


Our App and any electronic communications sent to you or any materials provided to you online or digitally, may include links to other websites, content or resources, which are hosted, offered or provided by third parties (including our Partners or their affiliates).  You understand and agree that we:


(a)   do not have any control over and do not monitor those third-party websites, content, or resources;


(b)   do not provide any undertakings, representations or warranties, and are not responsible for any of those third-party websites, content or resources (or any products, goods or services promoted, referred to or offered on the third-party websites or resources); and


(c)   do not endorse any of those third-party websites, content or resources, or any advertising, products, goods, services or other materials made available from such third-party websites or resources.

16.  Resolving Any Disputes


These Terms and any dispute or matter arising out of or in relation to them, or in relation to yuu SG, Points, Rewards, Your Personalised Offers, your yuu SG Account, or our App, shall be governed by and construed in accordance with the laws of Singapore. You agree to submit to the exclusive jurisdiction of the courts of Singapore.


17.   General Terms

 

You acknowledge and agree that any records maintained by us or our service providers relating to or in connection with yuu SG (including your yuu SG Account), our Website and the App, shall be binding and conclusive on you for all purposes whatsoever and shall be conclusive evidence of any information and/or data transmitted between us and you. You hereby agree that all such records are admissible in evidence and that you shall not challenge or dispute the admissibility, reliability, accuracy or the authenticity of such records merely on the basis that such records are in electronic form or are the output of a computer system, and you hereby waive any of your rights, if any, to so object.

 

We reserve the right to delegate or sub-contract the performance of any of our functions in connection with yuu SG (including your yuu SG Account), our Website and the App, and reserve the right to use any service providers, subcontractors and/or agents on such terms as we deem appropriate.


If any of these Terms are held invalid, illegal or unenforceable by any court or tribunal of competent jurisdiction, it will be severed and the remaining terms will continue in full force and effect as if these Terms had been made without the invalid, illegal or unenforceable term.


These Terms and our Privacy Policy, and any other terms and conditions referred to herein and/or posted on our App, contain the entire agreement between you and us.


A failure or delay by us to exercise any right or act upon a breach under these Terms will not be a waiver of that right or breach.  Any waiver by us of any of our rights or of a breach of these Terms must be in writing, and such waiver is limited to the particular right or breach stated in it.


These Terms are personal to you, and you may not assign or transfer any of your rights or obligations under these Terms.  We may assign, novate or otherwise transfer our rights or obligations to any third party without your consent. You agree to do all things necessary to facilitate such assignment, novation or transfer by us (including executing any agreement as may be necessary or desirable for the purpose of documenting such assignment, novation or transfer).


No person or entity who is not a party to these Terms shall have any right under the Contracts (Rights of Third Parties) Act 2001 or other similar laws to enforce any term of these Terms, regardless of whether such person or entity has been identified by name, as a member of a class or as answering a particular description. For the avoidance of doubt, this shall not affect the rights of any permitted assignee or transferee of these Terms.


18.   Language


These Terms and our Privacy Policy are written in English.
